These Terms and Conditions govern your use of the Corvid Path website and, together with any engagement letter or service agreement, your engagement of Corvid Path's consulting services. Please read these terms carefully. By using our website or engaging our services, you agree to be bound by them.
Corvid Path operates under Malaysian law. Our registered address is 7 Jalan Bangsar, 59200 Kuala Lumpur, Wilayah Persekutuan.
1. Definitions
In these Terms and Conditions, the following terms have the meanings given below:
- "Corvid Path", "we", "us", "our" refers to the business consulting practice operating under that name from 7 Jalan Bangsar, Kuala Lumpur.
- "Client", "you", "your" refers to the individual or organisation engaging our services or using our website.
- "Engagement" refers to a consulting project commissioned by the Client and confirmed in writing.
- "Deliverables" refers to the reports, analyses, frameworks, and written materials produced in the course of an Engagement.
- "Confidential Information" refers to any non-public information shared by either party in connection with an Engagement.
2. Website use
This website is provided for general information purposes. While we take reasonable care to keep its content accurate and current, we make no representations or warranties about the completeness, accuracy, or fitness for purpose of any information contained herein.
You may not use this website in any way that is unlawful, harmful, or that could damage the reputation of Corvid Path. You agree not to attempt to gain unauthorised access to any part of the site or its underlying infrastructure.
We reserve the right to modify or withdraw any part of the website at any time without notice.
3. Consulting services
3.1 Engagement terms
All consulting engagements are governed by a written engagement letter agreed between Corvid Path and the Client before work commences. These Terms and Conditions apply in addition to any such engagement letter. In the event of a conflict, the engagement letter takes precedence on service-specific matters.
3.2 Scope of work
We will perform the services described in the engagement letter with reasonable care and professional skill. Any significant change to the agreed scope must be confirmed in writing by both parties. Corvid Path reserves the right to adjust timelines where the scope is materially changed during an engagement.
3.3 Client responsibilities
To enable us to deliver our services effectively, the Client agrees to:
- Provide timely access to relevant documents, data, and personnel as reasonably requested
- Designate a suitable point of contact for the duration of the engagement
- Notify us promptly of any changes to the business situation that may affect the scope or findings of the engagement
- Ensure that information provided to us is, to the best of the Client's knowledge, accurate and complete
4. Fees and payment
Fees for each engagement are set out in the relevant engagement letter and are quoted in Malaysian Ringgit (RM). Unless otherwise stated, our standard payment terms are as follows:
- A deposit of 50% of the total fee is payable upon confirmation of the engagement
- The remaining balance is payable upon delivery of the final Deliverables
- Payment is due within 14 days of invoice date
Late payments may be subject to interest at a rate of 1.5% per month on the outstanding amount. We reserve the right to suspend work if payment is significantly overdue and reasonable notice has been given.
Fees do not include applicable taxes. The Client is responsible for any Goods and Services Tax or other applicable Malaysian taxes on top of the agreed fee, where required by law.
5. Intellectual property
All Deliverables produced by Corvid Path in the course of an engagement are provided to the Client for their internal business use. Upon receipt of full payment, the Client is granted a non-exclusive licence to use the Deliverables for the purposes for which they were produced.
Corvid Path retains ownership of all methodologies, frameworks, tools, and background intellectual property used in delivering the services. The Client may not reproduce, distribute, or commercialise the Deliverables to third parties without our prior written consent.
6. Confidentiality
Both parties agree to keep Confidential Information received from the other party in strict confidence and not to disclose it to any third party without prior written consent, except where required by law or regulation.
This obligation continues for a period of three years following the conclusion of the relevant Engagement, unless the information enters the public domain through no fault of the receiving party.
7. Limitation of liability
Our Deliverables are prepared as advisory materials based on the information available at the time of the engagement. They represent our professional assessment and are not a guarantee of any particular outcome. Decisions made by the Client on the basis of our work remain the Client's responsibility.
To the fullest extent permitted by Malaysian law, Corvid Path's total liability for any claim arising from an engagement shall not exceed the total fees paid by the Client for that engagement.
We shall not be liable for any indirect, consequential, or special losses, including lost profits, lost revenue, or damage to reputation, arising from the use of our Deliverables.
8. Termination
Either party may terminate an engagement by giving 14 days' written notice. In the event of termination by the Client, fees shall be payable for all work completed up to the date of termination. The initial deposit is non-refundable unless termination is due to a material breach by Corvid Path.
We may suspend or terminate an engagement immediately if the Client acts in a way that is unlawful, engages in conduct materially inconsistent with the engagement letter, or if there is a good-faith concern about the integrity of information provided.
9. Governing law and disputes
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
We encourage both parties to attempt to resolve any disputes amicably in the first instance before resorting to formal proceedings.
10. Changes to these terms
We may update these Terms and Conditions from time to time. The current version will always be available on this page, with the date of last update shown at the top. Your continued use of our website or engagement of our services after changes are posted constitutes acceptance of the revised terms.
